1. Parties and purpose
1.1 These Theme Partnership Terms (the "Terms") govern the non-exclusive referral, promotion, and implementation relationship for the theme.
1.2 Getwebcraft Limited, a private limited company incorporated in the Republic of Cyprus under company number HE 330173, with its registered address at Digeni Akrita, Avenue 58-60, Ghinis Building, 9th Floor, Flat/Office 901, 1061, Nicosia, Cyprus ("Getwebcraft"), develops and publishes the Themes under the Getsitecontrol brand and owns or controls the related intellectual property, branding, documentation, and marketing materials.
1.3 The Partner provides ecommerce, Shopify design, development, implementation, migration, consulting, or related services to merchants.
1.4 The Parties wish to establish a non-exclusive commercial relationship under which the Partner may recommend and implement the theme for merchants and receive the Commission for Eligible Sales in accordance with these Terms.
1.5 Getwebcraft and the Partner are each a "Party," and together the "Parties."
2. Definitions and interpretation
“Theme” means either the Bricks or Aurora Shopify theme, developed by Getsitecontrol and distributed exclusively through the Shopify Theme Store, including their presets and any versions, updates, and bug fixes made available by Getsitecontrol through that store. “Themes” means both collectively. References to “the theme” elsewhere in these Terms have the same meaning.
“Commission” means USD 80 (eighty United States dollars) payable to the Partner for each Eligible Sale, subject to Clauses 6 and 7.
“Eligible Sale” means a purchase of a Theme for a Referred Store that satisfies the requirements of Clauses 5 and 6.
“Merchant” means a person or entity operating a Shopify store whom the Partner introduces, advises, or serves in connection with a Theme.
“Partner Services” means design, development, implementation, configuration, migration, customization, consulting, support, or other services supplied by the Partner to a Merchant.
“Referred Store” means the specific Shopify store identified by its unique myshopify.com domain and submitted to Getwebcraft in accordance with Clause 5.
“Theme Partner” means the Partner participating in Getwebcraft’s non-exclusive referral, promotion, and implementation program under these Terms. This designation does not itself confer certification, legal agency, or status in any Shopify-operated program.
“Business Day” means a day other than a Saturday, Sunday, or public holiday in the Republic of Cyprus.
2.1 References to a Theme in connection with a purchase, license, referral, or Eligible Sale mean the particular Theme concerned. A preset or update does not, by itself, constitute a separate Eligible Sale or create an additional entitlement to Commission.
2.2 Headings do not affect interpretation. “Including” means “including without limitation." Writing includes email, subject to any express signature requirement. Singular words include the plural and vice versa where the context requires.
3. Appointment and scope
3.1 Getwebcraft appoints the Partner, and the Partner accepts appointment as a non-exclusive referral, promotion, and implementation partner for the Theme.
3.2 The Partner may: (a) recommend the Theme to Merchants; (b) assist Merchants with evaluating, configuring, and implementing the Theme; and (c) charge Merchants separately for Partner Services.
3.3 The appointment is non-exclusive. Getwebcraft may market the Theme directly and may appoint other partners in any territory or market. The Partner may work with other themes and technology providers.
3.4 No minimum sales volume is required unless the Parties agree otherwise in a written amendment signed by both Parties.
4. Independent contractor status
4.1 The Partner acts as an independent contractor. Nothing in these Terms creates an employment relationship, legal agency, partnership, joint venture, franchise, fiduciary relationship, or relationship of exclusivity between the Parties.
4.2 The name "Theme Partnership Program" and the term "Theme Partner" are commercial descriptions of a program for agencies and service providers. They do not create a legal partnership or appoint the Partner as Getwebcraft's legal agent or representative.
4.3 The Partner has no authority to: (a) enter into any agreement on behalf of Getwebcraft; (b) accept payment for the Theme on behalf of Getwebcraft; (c) make warranties, guarantees, commitments, or representations binding on Getwebcraft; (d) incur liability or expenditure in Getwebcraft's name; or (e) settle any claim on behalf of Getwebcraft.
4.4 The Partner must not describe itself as an employee, distributor, reseller, legal agent, office, branch, or exclusive representative of Getwebcraft, the Theme, or Shopify.
5. Manual referral notification
5.1 To claim a Commission, the Partner must submit a complete claim containing the information required by Clause 5.3 and the purchase confirmation required by Clause 5.2 within thirty (30) calendar days after the Merchant purchases the Theme. No pre-purchase notification is required. Getwebcraft may reasonably extend this deadline where the Partner demonstrates a delay outside its control.
5.2 To complete the Commission claim, the Partner must provide a copy of the Shopify-issued invoice or receipt evidencing the Merchant’s purchase of the Theme for the Referred Store within thirty (30) calendar days after purchase. Getwebcraft may reasonably extend this deadline where the Partner demonstrates a delay outside its control. Providing purchase evidence does not itself establish eligibility for a Commission.
5.3 Commission claims must be sent to the email address designated by Getwebcraft from time to time (initially help@getsitecontrol.com) and must include:
- the Merchant's legal or trading name;
- a business contact email address for the Merchant;
- the Referred Store’s myshopify.com domain;
- the Theme name (Bricks or Aurora);
- the preset name (if known);
- the date of purchase;
- the partner's legal name and its contact person’s name and email address
- reasonable evidence, if requested, that the Partner introduced the Merchant or is providing Partner Services to the Merchant.
5.4 The Partner must obtain any consent required to disclose Merchant information to Getwebcraft. The Partner must not submit payment card information, passwords, sensitive personal data, or information that is not reasonably necessary to verify the referral.
5.5 If more than one partner claims the same store, Getwebcraft will attribute the sale in good faith to the partner that first submitted the store and can reasonably demonstrate an active commercial relationship with the Merchant. Getwebcraft may contact the Merchant or request additional evidence to resolve the claim.
5.6 A referral notification does not guarantee a Commission. Eligibility remains subject to Clause 6.
6. Eligible sales
6.1 A purchase qualifies as an Eligible Sale only if all of the following conditions are satisfied:
- the Merchant purchased the Theme directly through the Shopify Theme Store for the Referred Store;
- the Partner made a genuine, demonstrable contribution to the Merchant’s decision to purchase the Theme before purchase, whether by introducing or recommending the Theme, advising on its selection, or providing evaluation or implementation assistance relevant to that decision. Acceptable evidence may include a signed proposal, statement of work, email correspondence with the Merchant, project invoice, collaborator-access record, implementation brief, or other documentation reasonably showing the Partner’s involvement before purchase;
- the Partner submitted the complete Commission claim and Shopify-issued invoice or receipt within the time limit required by Clause 5;
- Getwebcraft has reasonably verified the purchase for the Referred Store using the purchase confirmation required by Clause 5.2 and available Shopify sales or payout records. Where those records are unavailable or incomplete, Getwebcraft may request additional evidence reasonably necessary for verification.
- Getwebcraft has actually received the corresponding Theme revenue from Shopify;
- At least thirty (30) calendar days have elapsed since purchase, and, when the claim is approved, the purchase has not been refunded, reversed, charged back, or cancelled; is not subject to an unresolved payment dispute; and has not reasonably been determined to be fraudulent or unlicensed. A claim subject to an unresolved payment dispute will remain pending until the dispute is resolved. Subsequent events affecting eligibility will be handled under Clause 7.6;
- the sale is not excluded under Clause 6.2.
6.2 Unless Getwebcraft approves otherwise in writing before purchase, no Commission is payable for:
- (a) the Partner's own store;
- (b) a store in which the Partner or an entity controlling, controlled by, or under common control with the Partner has a beneficial ownership interest, or which is operated as the Partner’s or such entity’s own retail business, rather than solely on behalf of an independent Merchant. Creating, managing, or configuring a store solely as a service for an independent Merchant does not by itself trigger this exclusion;
- (c) a store used solely for development, demonstration, testing, or staging, or an artificial store established primarily to generate Commission. A genuine Merchant store is not excluded solely because it has not yet launched. A store initially created for development qualifies only once it has been transferred to the independent Merchant where applicable, holds a valid Theme license, and otherwise satisfies Clause 6.
- (d) a purchase made, arranged, funded, or reimbursed by the Partner primarily to generate a Commission;
- (e) a sale obtained through fraud, misleading conduct, unauthorized incentives, refund abuse, artificial transactions, or violation of Shopify's rules;
- (f) a purchase for which the Partner cannot reasonably substantiate its involvement with a bona fide Merchant.
6.3 One Commission is payable for each distinct Theme purchased for a Referred Store. Separate qualifying purchases of Bricks and Aurora may each earn a Commission, but additional purchases or replacement licenses for the same Theme do not. A change of store name, domain, ownership, preset, or a permitted license transfer does not by itself create a further entitlement to Commission. Commissions are not recurring and are not payable for updates, replacement licenses, or additional services.
7. Commission, statements, and payment
7.1 Getwebcraft will pay the Partner a fixed Commission of USD 80 (eighty United States dollars) for each Eligible Sale. The Commission is fixed regardless of the Theme’s retail price, Shopify fees, currency conversion, or any discount applied by Shopify, unless the Parties agree otherwise in writing.
7.2 Getwebcraft will use reasonable efforts to review each Commission claim within two (2) Business Days after receiving the required information and Shopify-issued invoice or receipt evidencing the Merchant’s Theme purchase. Getwebcraft will notify the Partner whether the claim is approved, rejected, or pending and will issue a commission statement identifying approved Eligible Sales, the Commission due and any adjustments. Claims awaiting further information, Shopify records, or completion of any verification period under Clause 6 will remain pending. Getwebcraft will explain the reason for any material delay.
7.3 Payment will be based on the approved commission statement. The Partner is not required to issue an invoice unless an invoice or other payment document is required by applicable law. Where permitted by applicable law, Getwebcraft may prepare a payment statement or other appropriate supporting document for the Partner’s confirmation. Any self-billing arrangement will be separately agreed upon and must satisfy applicable legal requirements.
Getwebcraft will pay the undisputed approved amount within fifteen (15) calendar days after the later of (a) issuance of the commission statement and (b) receipt of the payment details and any documents reasonably required under this Clause. Getwebcraft will promptly notify the Partner of any missing information or documents.
7.4 Payment may be made through PayPal or another method agreed upon in writing. The Partner must provide its full legal name, or the individual’s full name where the Partner is an individual, accurate payment-account details, and any address, tax-residency, tax-identification, or verification information reasonably required by applicable law or the payment provider.
If the agreed payment method is unavailable, the Parties will cooperate to arrange a lawful alternative. Such unavailability does not itself extinguish an otherwise valid entitlement to Commission.
7.5 Amounts are stated exclusive of VAT or similar transaction taxes. If such a tax is legally chargeable, the Partner must show it separately on a valid tax invoice. The Partner is responsible for its income, payroll, corporate, and other taxes. Getwebcraft may make any withholding required by law and will provide reasonable evidence of the withholding where available.
7.6 Unless the Parties agree otherwise in writing, the Partner is responsible for payment-provider, intermediary, receiving, withdrawal, and currency-conversion fees attributable to the Commission payment. Any such fees deducted by Getwebcraft must reflect actual charges, without markup, and be identified in the commission statement or payment confirmation. Getwebcraft may withhold the affected Commission while a purchase is subject to an unresolved payment dispute or a reasonably grounded eligibility investigation. Getwebcraft may deduct from future Commissions any Commission previously paid for a purchase that is subsequently refunded, reversed, charged back, cancelled, or reasonably determined, on supporting evidence, to be fraudulent, unlicensed, or otherwise ineligible under Clause 6.
Getwebcraft will notify the Partner of the affected purchase, amount, and reason. If future Commissions are insufficient, the Partner must repay the recoverable amount within fifteen (15) calendar days after receiving Getwebcraft’s written request. No amount may be recovered more than once. Any withheld or recovered amount must be released or restored if the purchase is subsequently confirmed eligible.
7.7 The Partner must notify Getwebcraft of any good-faith dispute concerning a commission statement, eligibility determination, or recovery request within thirty (30) calendar days after receiving it, providing reasonable supporting details. Getwebcraft will review the dispute reasonably and in good faith. Undisputed amounts remain payable when due. A sufficiently detailed dispute submitted before a repayment deadline suspends repayment of the disputed amount while the dispute is being reviewed.
8. Theme purchase, licensing, and distribution
8.1 Each Merchant must purchase and obtain its Theme license directly through the Shopify Theme Store in accordance with Shopify's applicable terms and licensing rules.
8.2 The Partner must not sell, resell, sublicense, lease, distribute, share, transfer, upload, copy, or provide the Theme files or source code to any Merchant or third party, except for access, backup, or modification strictly necessary to provide authorized Partner Services for the properly licensed store, to the extent permitted by Shopify's applicable licensing rules and the Merchant. This exception does not authorize use in an unlicensed store, independent distribution, resale, or sublicensing.
8.3 The Partner must not bundle the Theme license into its own invoice or represent that payment for Partner Services includes a valid Theme license. The Partner may quote or estimate the Theme's public retail price, but the Merchant must complete the purchase through Shopify.
8.4 The Partner may access and work on a Merchant's Shopify store only with valid authorization, such as collaborator access or other access permitted by Shopify and the Merchant. The Partner is responsible for safeguarding credentials and following the Merchant's instructions and Shopify's security requirements.
8.5 The Partner must promptly notify Getwebcraft if it becomes aware of piracy, unauthorized distribution, license circumvention, or other misuse of the Theme and must reasonably cooperate with Getwebcraft in protecting the Theme's intellectual property.
8.6 The Partner must not circumvent or attempt to circumvent the Shopify Theme Store purchase process, the Theme licensing rules, Shopify policies, or the referral submission process. The Partner must not offer unauthorized rebates, discounts, cashback, commission sharing, or other incentives that may mislead Merchants or violate Shopify rules.
9. Partner obligations and marketing conduct
9.1 The Partner must perform its activities professionally, lawfully, and honestly and in a manner that protects the reputation of the Theme and Getwebcraft.
9.2 The Partner must:
- use only accurate, current, and non-misleading descriptions of the Theme;
- clearly distinguish Partner Services from the Theme and from Getwebcraft's standard theme support;
- not promise features, delivery dates, custom development, refunds, discounts, or support commitments on behalf of Getwebcraft;
- comply with applicable advertising, consumer protection, anti-spam, privacy, anti-bribery, export control, sanctions, and competition laws;
- not use deceptive, coercive, fraudulent, or unauthorized promotional practices; and
- not make disparaging, false, or misleading statements about Getwebcraft, the Theme, Shopify, competing themes, Merchants, or other partners.
9.3 The Partner is solely responsible for the quality, legality, pricing, delivery, warranties, customer service, and tax treatment of Partner Services and for its contracts with Merchants.
10. Support and responsibility for services
10.1 Getwebcraft remains responsible for the standard support it offers for the Theme under its then-current support policy and applicable Shopify requirements. Getwebcraft may update its support scope from time to time.
10.2 Getwebcraft’s Theme support may include assistance with:
- (a) questions concerning the Theme functionality, theme setup, and configuration of theme settings;
- (b) bug fixes for issues arising from unmodified use of the Theme;
- (c) non-complex bug hotfixes that can reasonably be performed through Shopify collaborator access and do not require a full theme rebuild, redesign, or substantial redevelopment;
- (d) minor CSS adjustments, where Getwebcraft considers them reasonable and limited in scope;
- (e) recommendations concerning image dimensions and section-specific image preparation;
- (f) general guidance on Shopify-native functionality where relevant to the Theme, provided that Getwebcraft is not responsible for fixing Shopify platform issues; and
- (g) general assistance with issues arising during Theme updates, provided that such assistance does not include transferring custom code, custom sections, third-party app code, or other modifications from one theme version to another.
10.3 Getwebcraft’s Theme support does not include:
- (a) providing the Theme source code files;
- (b) fixing issues, bugs, incompatibilities, or regressions caused by changes to the Theme code, custom code, custom sections, custom templates, third-party modifications, or edits made by or for the Partner or Merchant;
- (c) troubleshooting or resolving issues caused by third-party apps, third-party scripts, third-party services, or third-party integrations, provided that Getwebcraft may, at its discretion, reasonably cooperate with the Partner, Merchant, or relevant third-party provider to help identify whether an issue relates to the Theme;
- (d) setting up, supporting, debugging, or integrating third-party apps, third-party tracking tools, custom code, or external services, including Google, Meta/Facebook, analytics, advertising, pixel, or tag-management tools;
- (e) transferring custom code, custom sections, settings, templates, or modifications during a theme update;
- (f) SEO audits, SEO fixes, SEO implementation, or SEO optimization;
- (g) store speed optimization, except for general recommendations relating to theme use and configuration;
- (h) non-theme-related Shopify platform issues, merchant account issues, billing issues, checkout issues, admin issues, or other matters controlled by Shopify;
- (i) issues arising from Shopify Sidekick, AI-generated sections, AI-generated content, or AI-generated code; or
- (j) guaranteeing compatibility between the Theme and any third-party software, app, script, service, or integration other than Shopify’s native apps and services.
10.4 If an issue arises from modified theme code, custom development, third-party software, or other changes outside the unmodified Theme, Getwebcraft may recommend reproducing the issue on a clean copy of the latest version of the Theme before further investigation. Getwebcraft may decline to investigate or resolve an issue that cannot be reproduced on an unmodified, properly licensed version of the Theme.
10.5 Getwebcraft may require the Merchant or Partner to upgrade to the latest available version of the Theme where a bug, compatibility issue, or feature request cannot reasonably be addressed by a patch, hotfix, or support instruction for the installed version.
10.6 The Partner is responsible for Partner Services, including installation, configuration, migration, design decisions, custom code, custom sections, integrations, third-party apps, data entry, and modifications made by or for the Partner or Merchant.
10.7 Getwebcraft is not responsible for defects, incompatibilities, security issues, performance problems, or losses caused by Partner Services, third-party software, unauthorized changes, Merchant content, AI-generated sections or code, or use of the Theme outside its documentation and intended environment.
10.8 The Partner must not remove copyright notices, license controls, attribution required by law or platform rules, or technical measures intended to protect the Theme.
11. Intellectual property and brand use
11.1 Getwebcraft and its licensors retain all rights, title, and interest in the Theme, the theme name and logos, Getwebcraft marks, source code, documentation, designs, updates, and all related intellectual property. No ownership transfers to the Partner under these Terms.
11.2 Getwebcraft grants the Partner a limited, revocable, non-exclusive, non-transferable, non-sublicensable, royalty-free right to use approved Theme names, logos, screenshots, and marketing materials solely to promote and implement the Theme under these Terms.
11.3 The Partner must follow brand guidelines and reasonable instructions supplied by Getwebcraft. The Partner must not alter logos, create confusingly similar branding, or register trademarks, company names, domains, social handles, paid-search keywords, or app or product names containing "Bricks," "Aurora," "Getsitecontrol," "Getwebcraft," the name of any theme preset, or any confusingly similar term without prior written approval.
11.4 The Partner may describe itself as a "Theme Partner" or "Theme Implementation Partner" while these Terms are in effect. The Partner may describe itself as a "Theme Certified Agency" after a separate written approval.
11.5 The Partner grants Getwebcraft a limited, non-exclusive, royalty-free right to display the Partner's names, logos, and trademarks supplied or approved for that purpose to identify the Partner as a participant in Theme Partnership Program, subject to any reasonable brand instructions provided by the Partner.
12. Confidentiality
12.1 Each Party may receive non-public commercial, technical, financial, security, product, customer, or business information of the other Party ("Confidential Information"). Confidential Information does not include information that the receiving Party can demonstrate: (a) is publicly available without breach; (b) was lawfully known without restriction before disclosure; (c) was received lawfully from a third party without confidentiality duty; or (d) was independently developed without use of the disclosing Party's Confidential Information.
12.2 The receiving Party must use Confidential Information only to perform these Terms, protect it with at least reasonable care, and disclose it only to personnel, professional advisers, and contractors who need to know it and are bound by appropriate confidentiality duties.
12.3 A Party may disclose Confidential Information where required by law or a competent authority, provided it gives prior notice where legally permitted and reasonably cooperates in seeking protective treatment.
12.4 On a written request, each Party must return or securely destroy Confidential Information, except for legally required records and routine backups that remain protected under this Clause.
13. Data protection
13.1 Each Party acts as an independent controller of personal data it processes for its own purposes under these Terms and must comply with applicable data protection and privacy laws, including the GDPR where applicable.
13.2 The Partner must provide required privacy information and establish and document a valid lawful basis, including obtaining consent where required, before sharing personal data with Getwebcraft. Each Party will limit personal data to what is reasonably necessary for referral verification, administration, payment, support, legal compliance, and fraud prevention.
13.3 The Partner must notify Getwebcraft without undue delay and, in any event, within twenty-four (24) hours after becoming aware of a personal data breach affecting data shared under these Terms, provide available details and cooperate with containment and legally required notifications.
13.4 Before either Party processes personal data on the other's behalf, the Parties must execute any agreement required by Article 28 GDPR or other applicable law. Actual processing activities determine their roles.
14. Representations, warranties, and compliance
14.1 Each Party represents that it is duly organized, has authority to enter into these Terms, and will comply with applicable law in performing them.
14.2 The Partner warrants that it has all rights and permissions necessary for its promotional content, code, designs, materials, and Partner Services; that these do not infringe third-party rights or violate applicable law or Shopify terms; and that it will not introduce malicious code.
14.3 Except as expressly stated in these Terms, neither Party gives any warranty, express or implied. Getwebcraft does not guarantee any minimum number of referrals or Merchant purchases, any level of revenue, rankings, conversion rates, or business results, uninterrupted availability, or continued listing of the Theme in the Shopify Theme Store.
14.4 Shopify is an independent third party and is not a party to these Terms. Getwebcraft is not responsible for Shopify's platform availability, purchasing flow, merchant billing, policy changes, licensing systems, payout timing, or decisions affecting the Theme or any Merchant store.
15. General provisions
15.1 Entire agreement. These Terms and their schedules constitute the entire agreement between the Parties concerning their subject matter and replace prior discussions, proposals, and understandings. Each Party acknowledges that it has not relied on a statement not expressly included in these Terms, without limiting liability for fraud.
15.2 Amendments. An amendment is effective only if in writing and signed by authorized representatives of both Parties. Operational details such as submission email addresses and invoice contacts may be updated by written notice without a formal amendment.
15.3 Assignment. The Partner may not assign, transfer, charge, or subcontract these Terms or any right to Commission without Getwebcraft's prior written consent. Getwebcraft may assign these Terms to an affiliate or in connection with a merger, reorganization, financing, or sale of all or substantially all relevant business or assets.
15.4 No waiver. A failure or delay to exercise a right is not a waiver. A waiver must be in writing and applies only to the specific circumstance stated.
15.5 Severability. If any provision is held invalid or unenforceable, it will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in force.
15.6 Third-party rights. No person other than a Party has any right to enforce these Terms.
15.7 Force majeure. Neither Party is liable for delay or failure caused by events beyond its reasonable control, except that this does not excuse payment obligations already due. The affected Party must notify the other and use reasonable efforts to mitigate the effect.
15.8 Counterparts and electronic signature. These Terms may be signed in counterparts and by electronic signature or exchange of signed PDF copies. Each counterpart is an original and together they form one instrument.
15.9 Language. These Terms are made in English. If they are translated, the English version prevails to the extent permitted by law.
15.10 Governing law and jurisdiction. These Terms and any non-contractual obligations arising from them are governed by the laws of the Republic of Cyprus. The courts of Nicosia, Cyprus have exclusive jurisdiction, except that Getwebcraft may seek urgent injunctive or protective relief in any competent jurisdiction to protect intellectual property, confidential information, or data.
